Deed Poll in respect of creditor claims - 9 January 2015

The Joint Administrators were appointed to the Nortel EMEA filed entities on 14 January 2009. The six year anniversary of the filings is 14 January 2015.

The Joint Administrators consider that it is in the interests of the creditors of each filed entity to enter into a deed poll providing that limitation periods in respect of certain claims will not expire on this sixth anniversary. The Joint Administrators also consider that the deed poll will promote the efficient conduct of the administrations by avoiding the need to deal with requests from individual creditors for separate bilateral arrangements.

The effect of the deed poll is to legally bind the Nortel EMEA filed entities to the course of action detailed therein. The deed poll does not require creditors to take any additional action.

This summary is intended to inform creditors of the entry by the Joint Administrators into the deed poll. In the event of a conflict between this summary and the terms of the deed poll, the terms of the deed poll shall prevail.

The Institute of Chartered Accountants in England and Wales (in the UK) authorises AR Bloom, SJ Taylor and SJ Harris to act as Insolvency Practitioners under section 390A(2)(a) of the Insolvency Act 1986 and the Insolvency Practitioners Association authorises SJ Edel and AM Hudson to act as Insolvency Practitioners under section 390A(2)(a) of the Insolvency Act 1986.

Nortel Networks S.A. is also subject to a Company Voluntary Arrangement. The Joint Supervisors are SJ Taylor, AR Bloom, SJ Harris and AM Hudson who act as agents of the company and without personal liability.

Nortel Networks International Finance & Holding B.V. was placed into liquidation under local law in the Netherlands on 26 September 2018. The Joint Liquidators are AR Bloom, SJ Edel and SJ Harris who act as agents of the Company. The business and assets of the company are now under the control of the Joint Liquidators.

Nortel Networks (Ireland) Limited was placed into liquidation under local law in Ireland on 30 December 2020. The business and assets of the company are now under the control of the Liquidator.

Nortel Networks S.p.A. was placed into liquidation under local law in Italy on 22 February 2021. The Liquidator is SJ Harris who acts as agent of the Company only and without personal liability. The business and assets of the company are now under the control of the Liquidator.

The Joint Administrators, Joint Liquidators and Joint Supervisors may collect, use, transfer, store or otherwise process (collectively, "Process") information that can be linked to specific individuals ("Personal Data"). They may Process Personal Data in various jurisdictions in accordance with applicable law and professional regulations including (without limitation) the Data Protection Act 2018.

The Joint Administrators, Joint Liquidators and Joint Supervisors may act as data controllers of Personal Data as defined by the UK General Data Protection Regulation (as incorporated in the Data Protection Act 2018), depending upon the specific processing activities undertaken. Ernst & Young LLP and/or the Companies may act as a data processor on the instructions of the Joint Administrators, Joint Liquidators and Joint Supervisors. Personal Data will be kept secure and Processed only for matters relating to the Joint Administrators', Joint Liquidators' and Joint Supervisors' appointment.
